Change of registration agent

Registration agent – is a specially licensed company, which carries out the registration and further support of the company such as the payment of government fees, submission of documents, and required reports to the Registar of Companies, as well as keeping accounting and other documentation. Registration agent is located on the territory of the country where company is registered. Usually the address of registered company office is the same as office address of the registration agent.

The list of supporting services can vary depending on the jurisdiction and on the existing legislative regulations. Thus, in tax-free (offshore) zones the minimum requirements for the support are legally fixed. For the low-taxes zones responsibilities of agent or secretary in annual company support is much more.

A standard set of services provided by Registration Agent can be extended with other services, such as obtainig of certificates, apostilling, introduction of alterations in corporate documents etc.

Company administrator

Foreign company can have an administrator, through whom all interactions berween beneficiary and registration agent will be implemented. In this case all services on annual company support and additional services are performed directly through company administrator. The job role of the administrator is to coordinate all requests of  beneficiary quick and accurately. 

Constant „linkage” of company to a registration company or administrator it not determined legislatively. So if you think that the cost of services for your company is considerably overstated or the service provided by your registration agent (or administrator) is not  good enough or communication in between is not proper you can change the registration agent or administrator.

The order of appointing a new registration agent

Transfer of a company under our administration and appointing a new registration agent is free of charge. We will prepare trasnfer documents, notification letter of beneficiary on appoining new agent, to clear all issues with a licenced company or an administrator.

Legalization of corporate and transfer documents, sending by courier for signing and order of certificates is paid separately. The cost depend on where and whom company was registered and whether the company uses nominal service*.

One of the main problems which can appear is the payments of fines or other debts of company to the existing registration agent or administrator.

Documents nesessary for changing of agent or administrator:

1.      Copy of the foundation agreement (to determine the registration agent name and address of registered office);

2.      Document to confirm personality of the beneficiary;

3.      Copy of the passport of the beneficiary (shall be attested in our office by personal presentce or it can be notirized copy sent by courier to us).

*Please note, that with changing of registration agent it will be changed the registration office and the nominal service (if it was used).
